Acceptance of the Terms of Service
By accessing or using Loadify’s services, software, or technology platform (collectively, the “Platform”) offered by Loadify Solutions (“Company,” “we,” or “us”), you (“Customer”) agree to be bound by these Terms of Service. Please read them carefully before using the Platform. If you do not agree to these Terms of Service, you must not access or use the Platform.
These Terms of Service apply to all users of the Platform. If you are accessing the Platform on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. In addition, by using the Platform, you agree to comply with our Privacy Policy.
1. Services Provided
1.1 Scope of Services:
Loadify Solutions provides the Customer with access to its Transportation Management System (TMS). The services may also include technical support, updates, and upgrades.
1.2 Subscription:
Your access to the Platform is based on the subscription plan agreed upon. All subscriptions are subject to payment of applicable fees as outlined in the subscription agreement. You are responsible for ensuring your subscription is current.
1.3 Changes to Services:
We may change or discontinue any aspect of the Platform at any time. Notice of significant changes will be provided via email or through the Platform.
2. User Responsibilities
2.1 Authorized Use:
You agree to use the Platform solely for business purposes, ensuring that all information provided is accurate and up-to-date. Misuse of the system, such as sharing logins or allowing unauthorized users, may result in account suspension.
2.2 Account Security:
You are responsible for maintaining the confidentiality of your login credentials. If you suspect unauthorized access to your account, you must notify us immediately. We reserve the right to disable any account that violates these term
3. License and Intellectual Property
3.1 License to Use:
Loadify grants you a limited, non-exclusive, non-transferable license to use the Platform for internal business purposes during the subscription period.
3.2 Intellectual Property:
All intellectual property related to the Platform, including but not limited to software, designs, trademarks, and data, remains the sole property of Loadify Solutions. You may not reverse-engineer, decompile, or create derivative works of the Platform.
4. Payment and Fees
4.1 Subscription Fees:
Fees for using Loadify’s services are outlined in your subscription agreement. Fees are non-refundable and must be paid on time to maintain access to the Platform.
4.2 Late Payments:
In case of non-payment, Loadify reserves the right to suspend or terminate services. Any outstanding balances will be subject to interest charges and potential collection fees.
5. Data Usage and Privacy
5.1 Customer Data:
You retain all rights to the data you upload to the Platform. However, Loadify may access, store, and use this data to improve services, troubleshoot issues, or for other legitimate business purposes as outlined in our Privacy Policy.
5.2 Data Security:
We take reasonable measures to secure your data. However, you agree that Loadify is not responsible for unauthorized access caused by factors beyond our control, such as third-party software or internet connectivity issues.
6. Support and Maintenance
6.1 Technical Support:
Loadify offers technical support during regular business hours. Any issues arising outside of these hours may incur additional charges. Support for third-party software is limited to resolving issues with Loadify’s integration.
6.2 Maintenance and Downtime:
Loadify will periodically update the Platform, which may cause temporary service interruptions. We will attempt to notify you in advance of any planned maintenance.
7. Term and Termination
7.1 Term of Agreement:
This agreement remains in effect for the duration of your subscription. Either party may terminate the agreement with 30 days’ notice.
7.2 Termination for Cause:
Loadify may terminate your access to the Platform without notice if you breach these Terms of Service, fail to pay fees, or engage in any illegal activities.
7.3 Post-Termination:
Upon termination, your access to the Platform will be revoked. You will have 30 days to request a copy of your data before it is deleted.
8. Confidentiality
8.1 Confidential Information:
Both parties agree to maintain the confidentiality of all proprietary information exchanged during the course of this agreement. Loadify agrees not to disclose your data to third parties except as required by law or to fulfill our services.
8.2 Breach of Confidentiality:
In the event of a breach, the non-breaching party may seek injunctive relief and damages.
9. Limitation of Liability
9.1 No Warranty:
Loadify provides the Platform “as is” and does not guarantee that it will be error-free, uninterrupted, or meet your specific needs.
9.2 Limited Liability:
In no event shall Loadify be liable for any indirect, incidental, or consequential damages. Loadify’s total liability for any claims related to the Platform will not exceed the total fees paid by you in the previous 12 months.
10. Governing Law
This agreement will be governed by and construed in accordance with the laws of Illinois/USA. Any legal disputes will be resolved in the courts of Illinois/USA.
11. Modifications to Terms
Loadify reserves the right to modify these Terms of Service at any time. Changes will be communicated via email or through the Platform. Your continued use of the Platform constitutes acceptance of the revised terms.
